1. Introduction

Welcome to Larkpulse. These Terms and Conditions ("Terms") govern your use of the Larkpulse website (https://www.getlarkpulse.com) and the services provided therein (collectively, the "Service"). The Service is owned and operated by Christopher Closset trading as jednoosobowa działalność gospodarcza ("we," "us," or "our"), located in Poland.

By accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

Christopher Closset reserves the right to change, modify, add, or remove portions of these Terms at any time. It is your responsibility to check these Terms periodically for changes. Your use of the Service following the posting of revised Terms means you accept and agree to the changes.

2. Definitions

  • Service: The Larkpulse platform, including the website, software, APIs, and features that allow users to connect social media accounts, schedule and publish social media posts, view analytics, and generate social media post suggestions.
  • User: Any individual or entity accessing or using the Service.
  • Content: Any information, text, data, images, links, or other materials curated, processed, or generated through the Service, including social media posts, summaries, and insights.
  • User Content: Content provided or added by the User to the Service, such as social media posts created for scheduling, images uploaded for publishing, or other materials.
  • Generated Content: Summaries, insights, social media post suggestions, or other content created by the Service's AI based on User Content.
  • Connected Account: A third-party social media account (including X, LinkedIn, Facebook, Threads, Instagram, YouTube, TikTok, and Pinterest) authorized by the User.
  • Lifetime Deal (LTD): A one-time payment plan granting access to specific features of the Service for the lifetime of the Service, subject to the terms outlined herein.
  • Open Router Key (BYOK): A "Bring Your Own Key" model where the User must provide their own API key from Open Router (a third-party AI service provider) to enable AI content generation features.

3. Service Description

Larkpulse provides a Software-as-a-Service (SaaS) platform designed to help users manage their social media presence across multiple platforms. Key features include:

  • Connecting social media accounts from X (formerly Twitter), LinkedIn (personal profiles and company pages), Meta (Facebook, Threads, and Instagram), YouTube, TikTok, and Pinterest via secure OAuth authorization.
  • Scheduling and publishing social media posts to connected accounts.
  • Viewing analytics and performance metrics for posts published through connected social media accounts.
  • Generating AI-powered social media post suggestions based on aggregated content and user preferences.

The Service relies on third-party AI processing via Open Router, requiring users to provide their own Open Router API Key (BYOK).

4. User Accounts

  • Registration: To access certain features, you may need to register for an account. You agree to provide accurate, current, and complete information during registration and keep this information updated.
  • Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.
  • 3rd party BYOK security: You are responsible for safeguarding your API key and setting spending limits to your API key via Open Router.
  • Eligibility: You must be at least 18 years old to use the Service.

5. Connected Social Media Accounts

To use the social media scheduling, publishing, and analytics features of the Service, you must authorize Larkpulse to access your social media accounts through the respective platform's OAuth or authorization process. By connecting an account, you grant Larkpulse permission to:

  • Access your profile information (such as name, username, and profile picture).
  • Publish content to the connected account on your behalf at times you specify.
  • Retrieve analytics, engagement metrics, and performance data for your posts.
  • Read and manage content as permitted by the platform's API and the permissions you grant.

Your Responsibilities

You are solely responsible for:

  • Ensuring that you have the authority to connect the social media accounts you authorize.
  • All content published through the Service to your connected accounts.
  • Complying with each social media platform's terms of service and community guidelines.
  • Managing the permissions granted to Larkpulse through each platform's third-party app settings.

Disconnection

You may disconnect any Connected Account at any time through your Larkpulse dashboard. Upon disconnection, Larkpulse will revoke stored authorization tokens and permanently delete all data associated with that Connected Account from our systems.

6. Payment, Lifetime Deals, and Licenses

  • Lifetime Deals (LTD): Require a one-time upfront payment for access as described in the specific LTD offer. "Lifetime" refers to the lifetime of the Larkpulse Service.
  • Payment Methods: You agree to provide valid payment information. By submitting such information, you authorize us (or our third-party payment processor) to charge all fees incurred through your account.
  • BYOK Requirement: All plans require you to provide your own Open Router API Key. You are solely responsible for obtaining this key and for any costs associated with its usage charged by Open Router. Larkpulse is not responsible for the availability, performance, or costs of the Open Router service.
  • X (Twitter) Add-on: Publishing to the X platform requires a separate $5/month add-on for 150 credits (150 posts without links).
  • Refunds: New purchases are covered by a 30-day refund policy.
  • Price Changes: We reserve the right to change the fees for new purchases upon reasonable prior notice. Price changes will not affect existing lifetime deal holders.

7. User Responsibilities and Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for the User Content you add and the Generated Content you use. You acknowledge that AI-generated content may contain inaccuracies or require significant editing.

You agree not to:

  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Use the Service for any illegal or unauthorized purpose.
  • Transmit any worms, viruses, or malicious code.
  • Infringe upon the intellectual property rights of others.
  • Overload or disrupt the Service or its infrastructure.
  • Use the Service to generate spam, hateful content, or misinformation.
  • Use the Service to violate the terms of service of any connected social media platform.

8. Intellectual Property

The Service and its original content (excluding User Content and Generated Content derived directly from User Content inputs), features, and functionality are and will remain the exclusive property of Larkpulse and its licensors. You retain ownership of your User Content. Subject to your compliance with these Terms and your ownership of the underlying User Content inputs, you generally own the Generated Content created for you by the Service.

9. Third-Party Services

The Service integrates with or relies on third-party services, including social media platforms and AI providers like Open Router. Larkpulse is not responsible for the availability, accuracy, or reliability of these third-party services. For plans requiring BYOK, your relationship regarding the API key and its usage is directly with Open Router. Larkpulse provides the integration but is not liable for Open Router's performance, security, or billing practices.

10. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your personal data. As an entity based in Poland, Larkpulse complies with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

11. Disclaimers and Limitation of Liability

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. Larkpulse does not warrant that the Service will be uninterrupted, secure, or error-free. In no event shall Larkpulse's aggregate liability for all claims relating to the Service exceed the amounts paid by you to Larkpulse for the Service in the six (6) months prior to the event giving rise to the claim.

12. Termination

You may terminate your account at any time by discontinuing use of the Service. We may suspend or terminate your access immediately, without prior notice, for breach of these Terms. Upon termination, your right to use the Service will cease immediately. No refunds will be issued upon termination unless required by law.

13. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to use the Service after revisions become effective, you agree to be bound by the revised terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Poland, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the competent courts located in Poland. Parties agree to attempt to resolve any dispute amicably before initiating legal proceedings.

15. Miscellaneous

These Terms constitute the entire agreement between you and Larkpulse regarding our Service and supersede any prior agreements. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision will not be considered a waiver. You may not assign these Terms without our prior written consent.
